Terms of Service

Please read these terms carefully before using PropertyHandle Africa's services.

1. Introduction

Welcome to PropertyHandle Africa ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the PropertyHandle platform, including our website, mobile applications, and all related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

PropertyHandle Africa (Pvt) Ltd is a company registered in Zimbabwe under company registration number [REGISTRATION NUMBER], with its registered office at Eight2Five Innovation Hub, Three Anchor House, 54 Julius Nyerere & Jason Moyo Avenue, Harare, Zimbabwe.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be a resident of a jurisdiction where use of the Platform is prohibited
  • Not be subject to any sanctions or on any prohibited persons lists
  • Complete our Know Your Customer (KYC) verification process

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion if we believe you do not meet these eligibility requirements.

3. Account Registration

3.1 Account Creation

To access certain features of the Platform, you must create an account. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are solely responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.

3.3 One Account Per Person

Each individual may only maintain one account on the Platform. Creating multiple accounts may result in the suspension or termination of all associated accounts.

4. Investment Terms

4.1 Nature of Investments

PropertyHandle facilitates fractional ownership in real estate properties through tokenized securities. Each property is held through a Special Purpose Vehicle (SPV), and investors receive tokens representing their proportional ownership stake.

4.2 Investment Process

When you invest through the Platform:

  • You are purchasing tokens that represent fractional ownership in a property SPV
  • Your investment is subject to the specific terms outlined in each property's prospectus
  • Minimum investment amounts vary by property
  • Investments may be subject to lock-up periods during which you cannot sell your tokens

4.3 Returns

Returns on your investment may come from:

  • Rental income distributions (typically paid quarterly)
  • Capital appreciation upon property sale

Past performance is not indicative of future results. All projected returns are estimates only and are not guaranteed.

4.4 Secondary Market

PropertyHandle may provide a secondary marketplace where you can buy and sell tokens. However, we do not guarantee liquidity, and you may not be able to sell your tokens at your desired price or at all.

5. Risk Disclosure

IMPORTANT: INVESTING IN REAL ESTATE INVOLVES SIGNIFICANT RISKS

Before investing, you should carefully consider the following risks:

  • Loss of Capital: You may lose some or all of your investment
  • Illiquidity: Real estate investments are typically illiquid and may be difficult to sell
  • Market Risk: Property values can decline due to economic conditions, location factors, or market trends
  • Currency Risk: Investments denominated in foreign currencies are subject to exchange rate fluctuations
  • Regulatory Risk: Changes in laws or regulations may adversely affect your investment
  • Operational Risk: Property management issues, vacancies, or maintenance costs may reduce returns
  • Concentration Risk: Investing in a single property or market increases risk

6. Fees & Charges

The following fees may apply to your use of the Platform:

  • Platform Fee: A percentage of each investment (disclosed at time of investment)
  • Management Fee: Annual fee for property management services
  • Transaction Fee: Fee for secondary market transactions
  • Withdrawal Fee: Fee for withdrawing funds to external accounts

All fees will be clearly disclosed before you complete any transaction. We reserve the right to modify our fee structure with 30 days' notice.

7. KYC/AML Compliance

PropertyHandle is committed to preventing money laundering and terrorist financing. As part of our compliance obligations, we require all users to:

  • Complete identity verification (KYC) before investing
  • Provide proof of address dated within the last 3 months
  • Declare the source of their investment funds
  • Provide additional documentation upon request

We reserve the right to refuse service, freeze accounts, or report suspicious activities to relevant authorities as required by law.

8. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, images, software, and the compilation thereof, is the property of PropertyHandle Africa or its licensors and is protected by intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without our prior written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • PropertyHandle shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform
  • Our total liability for any claims arising from your use of the Platform shall not exceed the fees you have paid to us in the 12 months preceding the claim
  • We do not guarantee the accuracy, completeness, or timeliness of any information on the Platform

10. Termination

We may suspend or terminate your account at any time for any reason, including but not limited to:

  • Violation of these Terms
  • Suspected fraudulent or illegal activity
  • Failure to complete KYC verification
  • Inactivity for an extended period

Upon termination, you will retain ownership of your tokens, but may lose access to certain Platform features. Outstanding obligations will survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Zimbabwe. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Zimbabwe.
